These Terms of Service and the Privacy Policy (hereinafter collectively referred to as the “Agreement”) govern your access and use of the Oxynote application (“Platform”) available through www.oxynote.io (“Website”) and all guides, documentation and support (“Resources”) provided by oxynote.io.
The Platform, Website, and Resources are collectively referred to as the “Service”. The Service is owned and operated by oxynote.io, in accordance with the laws of the Republic of Lithuania. Any reference in this Agreement to the “Service,” “we,” “us,” or “our” refers to oxynote.io, and any reference to “you,” “your,” or “User” refers to the individual or legal entity who accesses and uses the Service.
YOUR USE OF THE SERVICE IS EXPRESSLY CONDITIONED ON YOUR ACCEPTANCE OF THIS AGREEMENT. IF YOU DO NOT AGREE WITH ANY PROVISIONS OF THIS AGREEMENT, YOU ARE PROHIBITED FROM USING THE SERVICE. BY PROCEEDING TO USE THE SERVICE, YOU REPRESENT THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THIS AGREEMENT.
You hereby acknowledge and agree that Oxynote may, at its sole discretion, provide additional software, products, or tools (collectively "Additional Services") through the Website or mobile application. Any use of such Additional Services may be governed by terms and conditions ("Additional Terms") that are separate and distinct from those detailed in these Terms of Service. Oxynote shall make all such Additional Terms available to you prior to your use of such Additional Services. By proceeding to download/use any such Additional Services, you agree to abide by all such Additional Terms in addition to these Terms of Service. In the event of any conflict or inconsistency between any provisions of these Terms of Service and those contained in Additional Terms, the Additional Terms shall prevail with respect to your use of Additional Services.
You may only use the Service if you must meet the following eligibility criteria:
1. You are at least eighteen (18) years of age or the minimum age of majority in the jurisdiction where you reside, and you have the capacity to enter into a binding legal agreement;
2. If you enter into this Agreement on behalf of a legal entity, you represent and warrant that you meet the criteria in Section 2.1 above, and you have the authority to act on behalf of the legal entity, including the authority to bind the former to this Agreement and all obligations arising from the use of the Service.
Please note that you are strictly prohibited from accessing/using the Service if you are under 18 years of age and/or under the age of majority in the jurisdiction where you reside.
The Service is a cloud-based knowledge management platform designed for engineering teams. It enables organizations to create, organize, and maintain technical documentation, including but not limited to product requirements, architecture documentation, API specifications, operational runbooks, internal processes, and related materials (“User Content”).
Through the Platform, Users may:
The Service is hosted on Oxynote’s cloud infrastructure. User Content and account-related data are stored on secure cloud servers and made accessible to authorized Users through the Platform.
Oxynote provides the technical infrastructure that enables Customers to manage their documentation. Oxynote does not review, validate, endorse, or assume responsibility for the accuracy, completeness, legality, or suitability of User Content. Each Customer is solely responsible for the content created, uploaded, or maintained within its workspace, and for ensuring that its use of the Service complies with applicable laws and internal policies.
Unless expressly specified otherwise in this Agreement, Oxynote’s responsibility is limited to making the Service available in accordance with these Terms.
All Users are required to register an account on the Website to start using the Service.
From time to time, Oxynote may offer access to the Service, or certain features of the Service, on an early access, preview, or beta basis (“Beta Services”).
Beta Services may be provided free of charge for a limited period. Oxynote reserves the right, at its sole discretion, to modify, limit, suspend, or discontinue Beta Services at any time, with or without notice. Oxynote may also introduce usage limits, paid plans, or other pricing structures for the Service in the future.
Beta Services are provided “as is” and may contain errors, defects, or incomplete functionality. Oxynote makes no guarantees regarding the availability, performance, or continued support of Beta Services.
Nothing in this Agreement obligates Oxynote to continue offering any Beta Services or to offer them free of charge in the future.
All documentation, materials, data, files, text, diagrams, specifications, configurations, and other content created, uploaded, stored, or otherwise made available by a User within the Service (collectively, “User Content”) remain the property of the respective User or organization, as applicable.
Oxynote does not claim ownership of User Content. Subject to these Terms, the User grants Oxynote a limited, non-exclusive, worldwide license to host, store, process, transmit, and display User Content solely for the purpose of operating, maintaining, securing, and improving the Service.
Users may share User Content with other authorized Users within their workspace by configuring roles, permissions, or sharing settings available through the Platform. Each User and organization is solely responsible for managing access controls and determining which Users may view, edit, or administer User Content.
If the Service enables the publication or external sharing of content (for example, through public links or similar functionality), any User Content intentionally made accessible outside a private workspace will no longer be considered confidential, and the User assumes full responsibility for such disclosure.
Any information made available through the Service, whether provided by Oxynote, generated from User Content, displayed from integrations, or obtained from third-party sources (collectively, “Information”), is used at the User’s own discretion and risk.
The Service provides a documentation and collaboration platform only. Oxynote does not provide legal, financial, compliance, security, or other professional advice, and nothing made available through the Service should be relied upon as such.
Oxynote does not guarantee that any Information is accurate, complete, up to date, or reliable, and Oxynote is not responsible for any loss, damage, or liability arising from the use of, reliance on, or inability to use any Information made available through the Service, including Information originating from third-party services or integrations.
All Users are required to register an account on the Website to start using the Service.
Oxynote does not purport to provide any form of financial, legal, or accounting advice. Any information obtained through the Service should not be construed as, or used in lieu of, professional legal, accounting, or financial advice. During the term of this Agreement, should you require professional advice in the aforementioned areas, you are encouraged to seek guidance from a qualified lawyer, accountant, or financial advisor familiar with your specific circumstances. Oxynote disclaims any liability for any loss or damage arising from your use of the Service.
You are responsible for all activities carried out through your account and for all User Content created, uploaded, shared, or otherwise made available through the Service. Oxynote provides the Service as a documentation and collaboration platform and does not assume responsibility for decisions made, actions taken, or outcomes resulting from your use of the Service.
By using the Service, you understand and agree that:
1. You are solely responsible for maintaining the confidentiality of your account credentials and for managing your workspace settings, access controls, and sharing permissions.
2. You are solely responsible for the accuracy, completeness, legality, and appropriateness of User Content, and for any actions taken in reliance on such content.
3. Oxynote does not review, validate, or monitor User Content for correctness, and does not guarantee that any documentation or Information made available through the Service is accurate, complete, or up to date.
4. Any outages, disruptions, errors, or failures in third-party services or integrations (including external tools or data sources connected by you) are outside of Oxynote’s control, and Oxynote is not responsible for any resulting loss or damage.
You acknowledge that your use of the Service is at your own risk, and Oxynote is not liable for any losses or damages arising from your use of the Service, including reliance on User Content or Information made available through the Service.
You agree not to:
1. Use the Service for any unlawful purposes;
2. Use the Service in a manner that violates any provision of this Agreement;
3. Share your account log-in credentials with any third parties;
4. Use the Service for the purposes of creating competitive service;
5. Offer to provide support services or financial advice to other Users;
6. Introduce or transmit any virus, Trojan horse, worms or other code or software routine of a malicious nature;
7. Modify, copy, adapt, translate, resell, rent, sub-license any portion of the Service;
8. Attempt to access the Service through means other than the interface provided by Oxynote;
9. Breach, circumvent or interfere with any security measures used by Oxynote to protect the Platform and any unauthorised access/use of the Service Content;
10. Impose an unreasonable or disproportionately large load on our IT infrastructure;
11. Reverse engineer, decompile, disassemble, decipher, or create derivative works of any part or whole of the Service;
12. Infringe the copyright, trademark, trade secret, or other intellectual property rights of others;
13. Violate the privacy, publicity, or other personal rights of any individual;
14. Use data mining, web scraping, robots, spider/web crawlers, or similar data gathering and extraction tools;
15. Use the Service in any manner that may disable, overburden, or impair the Service or interfere with other Users’ use of the Service;
16. In any way interfere with the proper working of the Service.
Any violation of this provision will result in the immediate termination of your account.
We provide technical support to Users only to the extent their request relates to the Service. Oxynote does not provide legal, financial, compliance, security, or other professional advice, and does not provide support, troubleshooting, or guarantees for any third-party services, integrations, or external systems.
The Service can be accessed via computers and mobile devices that operate on operating systems identified as compatible with the Website.
Your access and use of the Service may be interrupted with or without prior notice for system maintenance, upgrading, testing, repairs, or other related work. We shall not be liable to indemnify you for any loss, damage, costs, or expense that you may suffer or incur as a result of such interruptions.
THE SERVICE IS PROVIDED TO YOU ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OXYNOTE EXPRESSLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES IMPLIED BY A COURSE OF PERFORMANCE AND USAGE OF TRADE.
OXYNOTE DOES NOT OFFER ANY WARRANTIES THAT THE SERVICE: (A) WILL MEET YOUR REQUIREMENTS; (B) WILL BE UNINTERRUPTED, ERROR-FREE, AND SECURE; (C) WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (D) WILL BE ACCURATE, RELIABLE, OR COMPLETE; OR (E) ANY DEFECTS OR ERRORS WILL BE CORRECTED.
OXYNOTE’S CREATORS, EMPLOYEES, AFFILIATES, AND AGENTS (“OXYNOTE AND ITS CREATORS”) DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, AND STATUTORY.
IN NO EVENT SHALL OXYNOTE OR ITS CREATORS BE HELD RESPONSIBLE FOR ANY LOSS OR DAMAGE RESULTING FROM THE USE OF THE SERVICE.
IN NO EVENT SHALL OXYNOTE AND ITS CREATORS BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, GENERAL, SPECIAL, CONSEQUENTIAL, AND INCIDENTAL DAMAGES OR LOSSES OF ANY KIND, INCLUDING BUT NOT LIMITED TO ANY LOSS OF PROFITS, LOSS OF SAVINGS, LOSS OR CORRUPTION OF DATA OR ANY OTHER SIMILAR LOSSES ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICE, YOUR RELIANCE UPON ANY INFORMATION AVAILABLE THROUGH THE SERVICE, ANY INTERRUPTION OR CESSATION OF THE SERVICE, EVEN IF OXYNOTE WAS PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH LOSSES OR DAMAGES. THE SERVICE IS PRIMARILY DESIGNED TO STORE AND PROCESS THE DATA PROVIDED BY THE USER, AND THE USER ACKNOWLEDGES AND AGREES THAT ANY RELIANCE UPON INFORMATION RECEIVED THROUGH THE SERVICE SHALL BE SOLELY AT THE USER’S RISK.
OXYNOTE AND ITS CREATORS’ LIABILITY TO YOU OR ANY THIRD PARTY FOR ANY CLAIM OR ACTION ARISING OUT OF OR RELATED TO THIS AGREEMENT AND THE USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF THE FOLLOWING AMOUNTS: (1) THE TOTAL AMOUNT YOU PAID OXYNOTE IN THE MONTH WHEN THE CLAIM FIRST AROSE; OR (2) €50 EUR.
SOME JURISDICTIONS DO NOT ALLOW ANY LIMITATIONS OF INCIDENTAL AND CONSEQUENTIAL DAMAGES; IF YOU ARE IN SUCH A JURISDICTION, THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You hereby agree to indemnify, defend and hold harmless Oxynote and its creators against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal fees, arising out of or in any way connected with your breach of this Agreement, your negligence or willful misconduct, your use of any user-created documents, Your User Content, or your violation of applicable law.
Oxynote may, at our sole discretion, assume the exclusive defence of any matter otherwise subject to indemnification. You agree that you will not settle any claim without the express written consent of Oxynote.
This Agreement shall be governed by and construed in accordance with the laws of the Republic of Lithuania, without regard to its conflict of laws principles. Oxynote and the User hereby irrevocably consent to the exclusive jurisdiction and venue of the courts located in Lithuania in any legal action or proceeding arising out of or relating to this Agreement and waive any objection to such jurisdiction or venue.
If any provisions in this Agreement or part of a provision is found to be unlawful, void, or for any reason deemed to be unenforceable, then that provision or part of the provision will be deemed not to be part of this Agreement to the minimum extent necessary and such severance shall not affect the validity and enforceability of the remaining Agreement.
You may not assign any rights and obligations under this Agreement, in whole or in part. Any attempt to assign any rights and obligations shall be void. Oxynote reserves the right to assign any of its rights and obligations under this Agreement to a third party without requiring your consent.
Our failure to enforce any right shall not constitute a waiver of that right or any other right.
We reserve the right to modify these Terms of Service at any time, at our sole discretion. If we make any changes to these Terms of Service, we will update the last modified date on the top of the web page where these Terms of Service appear. Please note that if we make any amendments that materially impact your rights or obligations, we will notify you of such changes by email prior to the effective date of such amendments. Unless a different effective date is specified, any changes to these Terms of Service shall be effective from the date the amended version is published. The amended version will supersede all previous versions. We advise you to review these Terms of Service regularly to familiarise yourself with any material changes. By continuing to use the Service after the effective date of the amended Terms of Service, you agree to be bound by such an updated version of the Terms of Service.
The Service may contain links to third-party websites that are not owned or operated by us. Please take note that if you click on any third-party links, you will be directed to that third-party website. Third-party websites have their own Terms and Conditions and Privacy Policy, and you are hereby advised to review their Terms and Privacy Policy prior to using their website. We assume no responsibility for any content made available on these third-party sites or their practices. The availability of any third-party links on our Service does not constitute an endorsement of such third-party’s website or any products/services provided by such third-party. Your access and use of any third-party website, product or services will be solely at your own risk.
Oxynote shall not be liable for the failure to perform any of its obligations in this Agreement if such failure is caused by any force majeure event such as war, epidemic, insurrection, terrorist activities, government sanction, embargo, labour dispute, strike, or any interruption or any failure of electricity or server, system, computer, Internet or telephone service.
